If you are an employer, you know that you make matching contributions of Social Security and Medicare taxes for your employees. You also know that you must remit taxes withheld from your employees paycheck, to the Department of the Treasury.
 
Sometimes a business is unable to remit the taxes due. When that happens, persons who are responsible for the payroll (officers, partners or even managers) may be personally liable for the payroll taxes. The IRS will aggressively pursue collection against "responsible persons".
 
Some believe that the IRS is so aggressive in collecting back payroll taxes, that it will readily seize business assets. Of course this action will effectively close your business. The IRS will then look to you and your assets for payment.  In addition, the penalties for unpaid tax liabilities are severe and accumulate rapidly.
 
This is an area in which you should seek representation in immediately. The IRS will move extremely quickly into liquid payroll tax cases. You cannot afford to delay because the situation can deteriorate very quickly.
